THE ANGEL-LED MASTERMIND AGREEMENT

 

1. PROGRAM OVERVIEW

The Angel-Led Mastermind ("Program") is a 3-month intensive coaching and peer collaboration program designed to accelerate business growth and personal development.

Program Details:

• Duration: 3 months from cohort start date

• Format: New Moon 1:1 Sessions, Full Moon Group Sessions, Guided journeys with meditations and journal prompts delivered to your inbox each moon phase, on-line group chat, group cohort integration sessions

• Cohort Start Date: January 20, 2026

• Cohort End Date: April 15, 2026

2. PAYMENT TERMS

Payment Structure:​ Payment plan: the amount you pay the first month will be charged every 30 days for the next 3 months

Payment Method: Recurring subscription via debit/credit card

The Participant agrees to maintain an active debit/credit card on file for the full 3-month duration. Late payments may result in suspension of access to program materials, sessions, and calls until account is current. 

 

You may opt to continue the program on a month-to-month basis by notifying us no later than seven (7) days before the end of the initial three-month term. If you choose to continue, payment will be processed via automatic billing every thirty (30) days at the same monthly rate as your initial three months, regardless of any future increases to the published program price. You may cancel month-to-month participation at any time by providing thirty (30) days’ written notice to support@drsophiatrevenna.com.

3. PARTICIPANT COMMITMENTS

The Participant agrees to:

1. Attend scheduled sessions: Make best efforts to attend all group calls and scheduled sessions

2. Reschedule sessions at least 48 hours in advance using the rescheduling links in your session confirmation emails.

3. Active participation: Engage authentically with the Mastermind community

4. Confidentiality: Maintain strict confidentiality regarding all information shared by other participants

5. Respectful conduct: Treat all participants with professionalism and respect using the tools provided by the program

6. Allow your email and phone number to be shared with your Mastermind cohort members, the Mastermind support staff, and the facilitator for use in program related activities only.

4. PROVIDER COMMITMENTS

The Mastermind Leader agrees to:

1. Facilitate New and Full Moon Mastermind sessions over the 3-month period

2. Monitor the on-line community and provide prompts for reflection and community conversation

3. Offer guidance, coaching, and feedback during sessions only and through on-line community

4. Maintain confidentiality of all participant information.

5. Not share your contact information with anyone but the Mastermind cohort and Mastermind support staff.

6. Create a safe, supportive environment for growth and collaboration

5. CONFIDENTIALITY

All participants agree that any information shared within the Mastermind—including personal stories, business strategies, financial information, and other sensitive details—is strictly confidential.

Participants agree not to:

• Share, record, or distribute session content without explicit written permission

• Disclose other participants' information outside the group

• Use other participants' proprietary information for personal gain

Violation of confidentiality may result in immediate removal from the program without refund.

6. REFUND & CANCELLATION POLICY

Cancellation by Participant:

• Cancellations made 30 days prior to cohort start date: Full refund. 

• Cancellations made within 30 days prior to cohort start date: No refund of the first $3333 payment. No further payments required. 

• Cancellations after cohort start date: No refunds will be issued

• All payment plan commitments remain in effect regardless of participation.

Cancellation by Provider:

• If any part of the Program is canceled by the Mastermind Leader due to unforeseen circumstances, the Provider will reschedule the Program and all payments will be paused until the Mastermind resumes. If the Program is canceled and not rescheduled, a prorated refund will be issued for the unused portion of the Program.

• At the Provider’s sole discretion, participants may be removed from the Program and denied access to all sessions and materials due to disorderly, disruptive, or inappropriate conduct. In such cases, no refund will be provided.

 

Subscription Cancellation: Participant must complete all scheduled payments per the payment plan. Early cancellation of subscription does not void payment obligations.

7. PROGRAM ACCESS & MATERIALS

Access includes:

• Live group mastermind calls

• Private online community access

• Recordings of calls (if agreed in writing by your cohort)

Access Termination: Access to program materials expires [30 days] after the cohort end date unless otherwise specified.

8. INTELLECTUAL PROPERTY

All program materials, curriculum, frameworks, and content remain the intellectual property of the Mastermind Leader. Participant receives a non-exclusive, non-transferable license to use materials for personal use only.

Participant agrees not to:

• Reproduce, distribute, or sell program materials

• Create derivative works based on program content

• Use program frameworks commercially without permission

 

9. LIABILITY & DISCLAIMERS

Results Disclaimer: The Mastermind Leader provides coaching, guidance, and facilitation but cannot guarantee specific business results or outcomes. Success depends on the Participant's individual effort, circumstances, and execution.

Limitation of Liability: The Mastermind Leader is not liable for any direct, indirect, incidental, or consequential damages arising from participation in the Program or application of program teachings.

Professional Advice: The Program does not provide legal, financial, tax, or medical advice. Participants should consult appropriate professionals for specialized guidance.

10. CODE OF CONDUCT

Participants may be removed from the Program without refund for:

• Harassment, discrimination, or disrespectful behavior

• Violation of confidentiality agreements

• Failure to maintain payment obligations

• Disruptive conduct that negatively impacts other participants

11. FORCE MAJEURE

Neither party shall be liable for any failure or delay in the performance of its obligations under this Agreement (other than payment obligations) to the extent such failure or delay is caused by events beyond such party’s reasonable control, including, but not limited to, acts of God, natural disasters, pandemics or epidemics, public health emergencies, governmental orders or regulations, war, terrorism, civil unrest, labor disputes, power outages, internet service disruptions, platform failures, or other similar events beyond the reasonable control of the affected party (“Force Majeure Event”).

In the event a Force Majeure Event materially interferes with the Mastermind Leader’s ability to deliver the services as scheduled, Client acknowledges and agrees that payment obligations shall remain in full force and effect and shall not be suspended, delayed, or refunded. The Mastermind Leader shall use commercially reasonable efforts to mitigate the effects of the Force Majeure Event by rescheduling affected sessions and/or providing alternative delivery methods within a reasonable timeframe.

12. DISPUTE RESOLUTION

Client acknowledges that the services provided under this Agreement consist of coaching, advisory, educational, and experiential mastermind services, the results of which are inherently subjective and dependent upon Client’s individual participation, effort, and implementation.

In the event of any dispute, claim, or controversy arising out of or relating to this Agreement, the coaching or mastermind services, program structure or delivery, communications between the parties, or Client’s perception of outcomes or value (a “Dispute”), the parties agree to first attempt to resolve the Dispute in good faith through informal discussions. 

If the Dispute is not resolved through informal discussions within thirty (30) days, the parties agree to submit the Dispute to non-binding mediation prior to initiating any arbitration or court proceeding. The mediation shall be conducted in the State of California, in person or via remote video conference, by a mutually agreed-upon mediator experienced in coaching, professional services, or business advisory matters. If the parties are unable to agree upon a mediator, one shall be selected through a reputable California-based mediation service.

Each party shall bear its own attorneys’ fees and costs incurred in connection with the mediation, and the parties shall share equally the mediator’s fees and administrative costs, unless otherwise agreed in writing.

Nothing in this section shall prevent the Mastermind Leader from seeking injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property, confidential information, proprietary methodologies, brand, or community integrity.

13. GENERAL PROVISIONS

Entire Agreement: This Agreement constitutes the entire agreement between parties and supersedes all prior discussions or agreements.

Amendments: This Agreement may only be modified in writing signed by both parties.

Governing Law: This Agreement is governed by the laws of California, USA.
